Welcome to BeMatrx ("App", "Service", "BeMatrx"). These Terms of Service ("Terms") constitute a legal agreement between you ("User") and BeMatrx Labs (Antalya, Türkiye) ("BeMatrx", "we", "us"). By using the App, you agree to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

1. Service Description

BeMatrx is a Living World app where you live a chosen life through the following features:

Virtual character creation and customization
Virtual career selection, employment, salaries, and an in-app economy using BeCoin
Social interactions with other users (following, messaging, commenting, rating)
Visual and text content sharing (Moments, Flashes, check-ins, auditions)
City-based social interactions, elections, and city governance
Private messaging
In-app stores and a user-to-user marketplace where virtual items are traded for BeCoin
Third-party content displayed inside the App (for example YouTube videos and film information)
BeLocal — introductions between users for practical help in the physical world (see section 5)

2. Eligibility

You must be at least 17 years old to create a BeMatrx account or use the service. The minimum age is 17 globally and applies in all regions. Some jurisdictions may require additional legal steps for users under 18 (such as parental consent); these do not lower the minimum age.

By creating an account, you confirm that you are at least 17 years old. We may remove accounts that we determine are operated by underage users.

3. Account Creation and Security

3.1. Registration

When creating an account, you agree to provide accurate, current, and complete information. Providing false information may result in account termination.

3.2. Account Security

You are solely responsible for the security of your account:

Keep your password secure and do not share it with anyone
You are responsible for all activities that occur under your account
Notify us immediately at privacy@bematrx.com if you suspect unauthorized access
You may not transfer or sell your account

3.3. One Account

Each user may create only one account. Creating multiple accounts is a violation of these Terms.

4. User Conduct Rules

When using BeMatrx, you agree that the following behaviors are PROHIBITED:

4.1. Prohibited Content and Behaviors

Harassing, threatening, bullying, or disturbing other users
Sharing content containing hate speech, racism, sexism, homophobia, or discrimination
Sharing child abuse, pornography, or obscene content
Sharing content containing violence, terrorism, suicide, or self-harm
Sharing content promoting illegal activities (drugs, weapons, human trafficking, etc.)
Sharing personal information (name, address, phone, ID) without consent (doxing)
Impersonating another person
Creating fake accounts, using bots, or managing accounts with automated tools
Sending spam or mass messages
Advertising without authorization for commercial purposes
Engaging in misleading or fraudulent behavior toward other users
Exploiting vulnerabilities, bugs, or flaws in the App
Reverse engineering, copying, or creating derivative works of the App
Infringing on copyright, trademark, or other intellectual property rights
Spreading viruses, trojans, or malware

We have zero tolerance for content that exploits or endangers minors. For our full policy on child safety, including reporting mechanisms and CSAM handling, see our Child Safety Standards.

4.2. Enforcement

In the event of violations, at our sole discretion, we may:

Remove your content
Send you a warning
Temporarily suspend your account
Permanently terminate your account
Report to authorities

5. Real-World Interactions (BeLocal)

BeMatrx includes BeLocal, a feature through which users may offer and request practical help in the physical world — for example airport pickup, a neighbourhood tour, language assistance, guidance with official procedures, a venue recommendation, or a small delivery. The App may also list real-world events and allow you to check in at them.

5.1. BeMatrx Is Not a Party

BeLocal is an introduction tool only. Any arrangement you make with another user is strictly between the two of you. BeMatrx is not a party to it and does not supervise, direct, guarantee, insure, or take responsibility for it. BeMatrx is not an agent, employer, transport provider, tour operator, travel agency, or intermediary of any kind.

5.2. Strict Limits

When using BeLocal, the following are PROHIBITED without exception:

Handling, exchanging, transporting, or brokering cash or any money transfer
Holding, storing, or carrying another person's valuables
Signing, submitting, or handling official or legal documents on another person's behalf
Providing lodging, accommodation, or an overnight stay
Transporting or handling any item whose contents you have not verified
Requesting, offering, or accepting payment of any kind between users — every reward comes from BeMatrx's in-app system, never from another user
Any activity that is unlawful in the place where it happens

Help offered through BeLocal must stay within these limits. Violations may result in removal of your listing, loss of BeLocal access, or termination of your account under section 4.2.

5.3. Your Responsibility and Assumption of Risk

Meeting anyone in the physical world carries risk. You use BeLocal entirely at your own risk and you alone are responsible for:

Deciding whether to meet another user, and where and when
Satisfying yourself as to who you are dealing with — a verified account means only that we checked the account, not the person behind it
Meeting in public places, telling someone you trust where you are going, and ending any interaction that feels unsafe
Complying with every law that applies to you, including immigration, transport, tax, and licensing rules
Your own insurance, vehicle, licences, and permits, where relevant

BeMatrx does not carry out background checks, criminal-record checks, or identity verification on users, and makes no representation about any user's character, conduct, or safety.

5.4. Minors

BeLocal is available only to users who meet the minimum age in section 2. You may not use BeLocal to arrange any interaction involving a person under 17.

5.5. References

After a completed BeLocal favour, both sides may write a reference. References are public and permanent and are visible to other users. They are user content under section 6 and must comply with section 4.

5.6. Reporting Incidents

If something goes wrong during a real-world interaction, report it in the App and write to support@bematrx.com. In an emergency, contact your local emergency services first. BeMatrx is not an emergency service and cannot intervene in the physical world.

5.7. Liability

To the fullest extent permitted by law, BeMatrx is not liable for any injury, death, loss, theft, damage, delay, dispute, cost, or claim arising from a real-world interaction between users, whether or not it began on BeLocal. The limitations in section 11 apply in full to this section.

6. User-Generated Content (UGC)

6.1. Ownership

The copyright of content you share on BeMatrx (photos, texts, voice recordings, character settings, messages) belongs to you. BeMatrx does not claim ownership of your content.

6.2. License

However, by sharing content, you grant BeMatrx a broad, worldwide, royalty-free, sub-licensable license to:

Display, store, process, and transmit your content in the App
Copy the content for technical purposes (backup, CDN distribution)
Transmit content to other users for communication purposes
Use in promotional materials for the App (in which case separate permission will be obtained)

This license ends when you delete content from the App; however, content may remain in our backups briefly due to legal obligations.

6.3. Content Responsibility

You are solely responsible for all content you share. BeMatrx does not verify the accuracy, legality, or quality of user content. You warrant that your content does not infringe on the rights of third parties.

6.4. Content Moderation

BeMatrx reserves the right, at its sole discretion, to remove content deemed inappropriate without notice. Content moderation may be performed by algorithms and/or human moderators.

7. Intellectual Property

7.1. BeMatrx's Rights

The BeMatrx App, logo, codebase, design, characters, graphics, sound effects, texts, and all other original materials belong to BeMatrx Labs and are protected by copyright, trademark, and other intellectual property laws.

7.2. Limited License

You are granted permission to use the App only for personal, non-commercial use, in accordance with these Terms. Any other use is prohibited.

8. Fees and Payments

BeMatrx's core features are free. We may offer paid features or in-app purchases in the future. In such cases:

Payments are processed through Apple App Store or Google Play
The applicable platform's terms apply to each transaction
Refund policies are determined by the platform (Apple/Google)
BeMatrx does not access your credit card information

9. Service Changes and Interruptions

BeMatrx reserves the right, at its sole discretion, to:

Modify, add, or remove App features
Temporarily suspend service for maintenance
Terminate the App entirely

We will make reasonable efforts to notify you in advance of significant changes.

10. Account Termination

10.1. Termination by You

You may delete your account at any time from within the App via "Settings > Account Actions > Delete Account". Account deletion is immediate and permanent.

10.2. Termination by Us

We may terminate your account without notice in the following cases:

When you violate these Terms
When you engage in illegal activity
When you harm other users or BeMatrx
When we receive a legal request from authorized authorities
If your account has been inactive for more than 12 months

10.3. After Termination

After account termination:

You lose access to the App
Your data is deleted within the timeframes specified in the Privacy Policy
Virtual items/credits purchased for free are not refunded

11. Disclaimers and Limitations

11.1. "As-Is" Provision

BeMatrx provides the App "as-is" and "as available". We make no express or implied warranties, particularly:

That the App will be uninterrupted, error-free, or virus-free
Regarding the accuracy or quality of user content
Regarding fitness for a particular purpose
Regarding the behavior of other users

11.2. Limitation of Liability

To the maximum extent permitted by law, BeMatrx Labs:

Is not liable for indirect, incidental, special, or consequential damages
Is not liable for loss of data, profits, or reputation
Is not liable for the conduct of other users
Is not liable for service interruptions

In any event, our total liability shall not exceed the amount of fees you have paid us in the last 12 months (or 100 USD or equivalent if no fee was paid).

12. Indemnification

You agree to indemnify BeMatrx Labs against any claims, lawsuits, and damages arising from your use of the App or your violation of these Terms.

13. Privacy

Please review the Privacy Policy for information on how your personal data is processed. By using the App, you also accept the Privacy Policy.

BeMatrx processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR, European Union), the California Consumer Privacy Act (CCPA, California, USA), the Children's Online Privacy Protection Act (COPPA, USA), and the Turkish Personal Data Protection Law No. 6698 (KVKK, Türkiye).

14. Changes

We may update these Terms from time to time. We will notify you of significant changes through the App or via email. Continuing to use the App after updates constitutes acceptance of the new Terms. If you do not accept, you may close your account.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Any disputes arising from these Terms shall be settled in the courts and enforcement offices of Antalya, Türkiye.

For users who are consumers, legally mandated consumer protection rights are reserved.

16. General Provisions

16.1. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and BeMatrx.

16.2. Severability

If any provision of these Terms is deemed invalid, the remaining provisions shall remain in effect.

16.3. Waiver

Our failure to enforce a right does not constitute a waiver of that right.

16.4. Assignment

You may not assign your rights under these Terms. BeMatrx may assign its rights in the event of a company merger, sale, or restructuring.

These Terms of Service are governed by the laws of the Republic of Türkiye. In the event of any conflict between different language versions of this document, the English version shall prevail.
